Florida EDGAR Filing Lawyer
What is EDGAR Filing?
“EDGAR” is the acronym for Electronic Data Gathering, Analysis and Retrieval system utilized by the Securities and Exchange Commission (SEC) to receive and process filings related to public companies under the requirements of federal securities laws. In early 1993, the commission began to mandate electronic filings through its EDGAR system. This system is intended to benefit electronic filers, enhance the speed and efficiency of SEC processing, and make corporate and financial information available to investors, the financial community and others in a matter of minutes. Electronic dissemination generates more informed investor participation and more informed securities markets.
Our managing shareholder, Clifford J. Hunt, Esquire, is registered with the SEC as an EDGAR filing agent. We routinely assist our public company clients (their officers, directors and “affiliated persons”) with preparation and filing of their periodic reports with the SEC via the EDGAR system. Filings with the SEC include:
- Registration statements on Form S-1
- Registration statements on Form 10
- Quarterly reports on Form 10-Q
- Annual reports on Form 10-K
- Periodic reports on Form 8-K
- Forms 3, 4 and 5
- Proxy statements and information statements on Schedules 14A and 14C
- Schedule 13D
